1.1 Your access to and use of Eurostand Display Ltd's website ('the Website') and the Services outlined in Clause 2, are subject exclusively to these Terms and Conditions. You will not use the Website/Services for any purpose that is unlawful or prohibited by these Terms and Conditions. By using the Website/Services you are fully accepting the terms, conditions and disclaimers contained in this notice. If you do not accept these Terms and Conditions you must immediately stop using the Website/Services.
1.2 Eurostand Display Ltd reserves the right to update or amend these Terms and Conditions at any time and your continued use of the Website/Services following any changes shall be deemed to be your acceptance of such change. It is therefore your responsibility to check the Terms and Conditions regularly for any changes.
2.1. All prices quoted are subject to carriage and packing charges and are net of Value Added Tax at the prevailing rate. Eurostand Display Ltd (seller) reserve the right to amend prices if conversion rate change exceeds 5% based on exchange rate of 1.25 US dollars to GB pound sterling.
2.2. Orders are subject to pre-payment until such time as a trading account is established, once a trading account has been agreed, payment for goods supplied shall be made within thirty days from invoice date.
2.3. Title to all goods supplied by the seller to the buyer remains with the seller until such time as the buyer has paid the seller all sums owed by the buyer to the seller.
2.4. In the case of overdue payment, the seller may charge interest to the buyer on the amount overdue calculated on a daily basis at the rate of 3% above the base lending rate of The Royal Bank of Scotland for the period currently in force from such date until the date on which payment is received.
2.5. The seller is not responsible for damage or shortages that occur in transit by the appointed carrier. The carrier's delivery docket should be duly annotated by the buyer to advise damage or shortages and claims notified in writing to Eurostand Display Ltd within 24 hours of delivery.
2.6. Written claims against Eurostand Display Ltd for product defects must be made within three days of delivery. Goods returned will not be accepted without prior written agreement from the seller.
2.7. Eurostand Display Limited guarantees all display products for a period of five years from date of purchase against component failure and manufacturing defects. This excludes all carrying equipment and products that require replacement due to excessive wear and tear, have been subject to misuse, neglect, malicious or accidental damage or through failure to follow suppliers’ instructions for their preparation or use. Carrying equipment is guaranteed for a period of one year. Light bulbs are excluded from warranty after their initial use as are products that have been altered, serviced or enhanced other than by the guarantor or their authorised representatives. No liability is accepted by the seller or guarantor for incidental, indirect or consequential losses or damages arising out of or in connection with the performance or use of a product.
2.8. Due to continued product development Eurostand Display Ltd reserves the right to change or amend product specification without prior notice.
You agree to comply with all applicable laws regarding the transmission of technical data exported from the United Kingdom or the country in which you reside (if different) and with all local laws and rules regarding acceptable use of and conduct on the Internet.
You agree to indemnify and hold Eurostand Display Ltd and its employees and agents harmless from and against any breach by you of these Terms and Conditions and any claim or demand brought against Eurostand Display Ltd by any third party arising out of your use of the Services and/or any Content submitted, posted or transmitted through the Services, including without limitation, all claims, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses) howsoever suffered or incurred by Eurostand Display Ltd in consequence of your breach of these Terms and Conditions.
5.1 Use of the Website/Services is at your own risk. The Website/Services are provided on an 'as is' and 'as available' basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.
5.2 To the extent permitted by law, Eurostand Display Ltd will not be liable for any indirect or consequential loss or damage whatsoever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Website/Services.
5.3 Eurostand Display Ltd makes no warranty that the Website/Services will meet your requirements, that the Content will be accurate or reliable, that the functionality of the Website/Services will be uninterrupted or error free, that defects will be corrected or that the Website/Services or the server that makes them available are free of viruses or anything else that may be harmful or destructive.
5.4 Nothing in these Terms and Conditions shall be construed so as to exclude or limit the liability of Eurostand Display Ltd for death or personal injury as a result of the negligence of Eurostand Display Ltd or that of its employees or agents.
5.5 Nothing in these Terms and Conditions shall affect your statutory rights as a consumer.
If any of these Terms and Conditions should be determined to be invalid, illegal or unenforceable for any reason by any court of competent jurisdiction then such Term or Condition shall be severed and the remaining Terms and Conditions shall survive and remain in full force and effect and continue to be binding and enforceable.
These Terms and Conditions shall be governed by and construed in acccordance with the law of England and you hereby submit to the exclusive jurisdiction of the English courts.
